User Terms of Service

1. Scope & Acceptance

These Terms of Service ("Terms") govern your use of the Amilu mobile application ("App", "Platform", "Service"). By creating an account or using Amilu, you agree to be bound by these Terms. If you do not agree, do not use the App. Your use of the Service is also subject to our Privacy Policy, which is incorporated into these Terms by reference. Amilu is operated by Zypheris GmbH ("we", "us", "our"), c/o BlueAUDIT GmbH, Schindellegistrasse 73, 8808 Pfäffikon, Switzerland. Amilu is a trademark of Zypheris GmbH. Contact: amilu.app@gmail.com.

2. Nature of the Service

Amilu is a technology platform that enables users to create and join spontaneous social activities with other users. Amilu acts solely as a technology platform and intermediary. Amilu does not organize, host, supervise, control, or participate in any activities created by users. Amilu is not a party to any arrangement, agreement, or relationship between users. All activities are created, organized, and attended at the sole discretion and responsibility of the participating users. Amilu does not verify the identity, background, character, or suitability of any user. Amilu does not conduct background checks, criminal record checks, sex offender registry checks, or any other form of screening on its users. Any information displayed on a user's profile is self-reported and has not been verified, confirmed, or endorsed by Amilu. Amilu does not make any representations, warranties, or guarantees regarding the behavior, intentions, reliability, or trustworthiness of any user.

3. Service Availability & Modifications

We reserve the right to modify, suspend, discontinue, or terminate the Service (or any part, feature, or functionality thereof) at any time, temporarily or permanently, with or without notice and without liability to you. We do not guarantee that the Service will be available at all times or in all locations. The Service may be subject to interruptions, delays, errors, or other limitations. We are not liable for any such interruptions or limitations.

4. Eligibility

You are not authorized to create an account or use the Service unless all of the following are true: • You are at least 18 years old • You are legally capable of entering into a binding contract • You are not prohibited by law from using the Service • You do not have more than one account on the Service • You have not previously been removed from the Service by us By creating an account, you confirm that you are at least 18 years old. Amilu relies on the birth year provided during registration to determine eligibility. Amilu does not independently verify the age or identity of its users. If you provide false information about your age, you are in violation of these Terms, and Amilu accepts no liability arising from such misrepresentation. If at any time you cease to meet these requirements, your authorization to access the Service is automatically revoked. For the avoidance of doubt: minors do not have accounts on Amilu. Section 8 (Activities Involving Children) applies to children who accompany their parents or legal guardians to activities arranged through the platform.

5. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate and truthful information during registration and keep your profile up to date. You must notify us immediately at amilu.app@gmail.com if you suspect unauthorized access to your account. You may not use another user's account, share your account credentials, or transfer your account to another person.

6. User Conduct & Prohibited Content

You agree to use Amilu respectfully and in compliance with all applicable laws. The following is strictly prohibited: • Creating fake profiles or impersonating others • Harassing, threatening, bullying, stalking, or intimidating other users • Posting offensive, discriminatory, sexually explicit, or illegal content • Using the platform for commercial solicitation, advertising, or spam • Soliciting money, goods, or services from other users • Attempting to collect personal data of other users for purposes outside the App • Using the platform to promote illegal activities • Circumventing or interfering with the App's security features • Creating activities with the intent to deceive, scam, or harm other users • Using automated systems, bots, scrapers, or other means to access the Service • Uploading viruses, malware, or other malicious code • Reverse engineering, decompiling, or disassembling any part of the Service • Posting, promoting, or distributing extremist, radical, or hateful ideologies, or content from organizations that are banned, unconstitutional, or classified as extremist by government authorities • Using activities, profiles, chats, or any other feature to recruit for extremist, radical, or unconstitutional organizations, or to instrumentalize the platform for radicalization of any kind • Using the platform to spread propaganda, incite hatred, or polarize users along political, religious, ethnic, or ideological lines • Discriminating against, excluding, or targeting users based on their political views, religion, ethnicity, nationality, or any other protected characteristic Amilu is a neutral platform for social connection. Events with a political or religious context (e.g. election night gatherings, community celebrations) are permitted as long as they are inclusive, non-discriminatory, and do not serve the purpose of recruitment or radicalization. Amilu reserves the sole right to determine whether content or activities violate this policy. We reserve the right to suspend or permanently delete accounts that violate these rules without prior notice and without refund. We may also take action based on conduct outside of the App if we determine, at our sole discretion, that such conduct is harmful to other users, to us, or to the integrity of the Service.

7. Activities & Meetings – Assumption of Risk

IMPORTANT – PLEASE READ CAREFULLY: Amilu provides the technology for users to discover and connect with each other. Amilu does not vet, screen, verify, or endorse any user or activity. BY USING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT PARTICIPATION IN ANY ACTIVITY ARRANGED THROUGH AMILU IS ENTIRELY AT YOUR OWN RISK. YOU VOLUNTARILY ASSUME ALL RISK OF PERSONAL INJURY, PROPERTY DAMAGE, EMOTIONAL DISTRESS, FINANCIAL LOSS, OR ANY OTHER HARM THAT MAY RESULT FROM YOUR INTERACTIONS WITH OTHER USERS, WHETHER ONLINE OR OFFLINE. We strongly recommend: • Meeting in public places • Informing a friend or family member of your plans • Trusting your instincts – leave if you feel uncomfortable • Not sharing personal information (home address, financial details) with people you have just met Amilu has no control over and accepts no responsibility for the identity, actions, intentions, statements, or behavior of any user. Amilu expressly disclaims all liability arising from user interactions, both on and off the platform, to the maximum extent permitted by applicable law. YOU HEREBY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY AND ALL CLAIMS AGAINST AMILU ARISING OUT OF YOUR USE OF THE SERVICE, YOUR PARTICIPATION IN ANY ACTIVITY, OR YOUR INTERACTIONS WITH OTHER USERS.

8. Activities Involving Children

Some activities on Amilu may be designated for families and their children (e.g. playdates, family outings). The following rules apply without exception: • Parents and legal guardians bear full and sole responsibility for the supervision, safety, and wellbeing of their children at all times during any activity arranged through Amilu. • Children must not be left unsupervised or placed in the care of other users under any circumstances. Amilu is not a childcare service. • Parents and legal guardians are solely responsible for assessing the suitability and safety of any activity for their children before participating. • Amilu does not conduct background checks on any user and makes no representations whatsoever regarding the suitability of any user to interact with children. AMILU EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY HARM, INJURY, LOSS, DAMAGE, OR DEATH INVOLVING MINORS THAT ARISES FROM ACTIVITIES ARRANGED THROUGH THE PLATFORM, WHETHER DIRECTLY OR INDIRECTLY. BY PARTICIPATING IN ANY ACTIVITY WITH CHILDREN, YOU ACKNOWLEDGE AND ACCEPT FULL AND SOLE RESPONSIBILITY FOR THEIR SAFETY AND WELLBEING.

9. User Content

You are solely responsible for any content you post on Amilu (photos, text, messages). By posting content, you grant Amilu a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, display, reproduce, modify, adapt, publish, and distribute your content solely for the purpose of operating and providing the Service. You represent that you have all necessary rights to the content you post and that your content does not violate the rights of any third party. We may remove, edit, block, or restrict access to any content at our sole discretion and without prior notice or liability. We have no obligation to monitor, review, store, or maintain your content. We are not responsible for any content posted by users, including any errors, omissions, or inaccuracies.

10. Reporting & Blocking

If you encounter inappropriate behavior, you can report users directly through the App. We review reports and may take action including warnings, temporary suspension, or permanent account deletion. Reporting does not guarantee a specific outcome. We handle reports at our sole discretion and are not obligated to take any particular action, to disclose the results of an investigation, or to provide an explanation. Misuse of the reporting feature may itself result in account suspension. Amilu is not responsible for resolving disputes between users.

11. Pricing

Amilu is currently free to use. If we introduce paid features in the future, we will inform you in advance and clearly communicate any pricing before you are asked to pay. No charges will ever be applied without your explicit consent.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. AMILU MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE REGARDING: • The accuracy, reliability, completeness, or truthfulness of any user profile, content, or information • The conduct, intentions, character, actions, or omissions of any user, whether online or offline • The safety, quality, legality, or suitability of any activity created through the Service • The identity, background, or criminal history of any user • That the Service will be uninterrupted, timely, secure, or error-free • That defects will be corrected • That the Service or its servers are free of viruses or harmful components NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY AMILU SHALL CREATE A WARRANTY.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: AMILU SHALL NOT BE LIABLE FOR ANY INJURY, HARM, DEATH, DAMAGE, OR LOSS OF ANY KIND ARISING FROM: • Interactions between users, whether online or offline • Activities arranged, created, or attended through the Service • The conduct, actions, statements, or omissions of any user • Content posted by users • Any unauthorized access to or alteration of your data • Service interruptions, bugs, errors, or technical failures • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, data, business opportunities, goodwill, or reputation • Any matter beyond our reasonable control IN NO EVENT SHALL AMILU'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE ACTUALLY PAID TO AMILU IN THE 12 MONTHS PRECEDING THE CLAIM, OR CHF 50, WHICHEVER IS GREATER. THE LIMITATION OF LIABILITY SET FORTH ABOVE IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE AGREEMENT BETWEEN YOU AND AMILU AND REFLECTS A FAIR ALLOCATION OF RISK. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. YOU AGREE THAT THE LIMITATIONS AND EXCLUSIONS OF LIABILITY, DISCLAIMERS, AND EXCLUSIVE REMEDIES SPECIFIED HEREIN WILL SURVIVE AND APPLY EVEN IF FOUND TO HAVE FAILED IN THEIR ESSENTIAL PURPOSE. Nothing in these Terms excludes or limits liability for death or personal injury caused by gross negligence or intentional misconduct, fraud, or any liability that cannot be excluded under applicable mandatory law.

14. Waiver of Claims

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY WAIVE ANY AND ALL CLAIMS, CAUSES OF ACTION, AND DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, YOUR PARTICIPATION IN ANY ACTIVITY, YOUR INTERACTIONS WITH OTHER USERS, OR ANY CONTENT MADE AVAILABLE THROUGH THE SERVICE. This waiver applies regardless of the legal theory, whether in contract, tort (including negligence), strict liability, warranty, or any other legal or equitable theory, and whether or not Amilu has been advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless Amilu, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: • Your use of or access to the Service • Your violation of these Terms or any applicable law • Your violation of any third-party rights • Any activity you create, join, or participate in through the platform • Any content you post or share on the platform • Your interactions with other users, whether online or offline • Any claim by a third party related to your conduct, content, or activities • Any harm caused to a minor under your supervision during an activity Amilu reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

16. Third-Party Services & Links

The Service may contain links to or integrations with third-party websites, services, or content that are not owned or controlled by Amilu. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. Your use of third-party services is entirely at your own risk and subject to those third parties' own terms and conditions. Amilu is not liable for any damage or loss caused by or in connection with your use of any third-party services.

17. Intellectual Property

The Amilu name, logo, design, software, and underlying technology are the exclusive property of Zypheris GmbH and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, reverse engineer, decompile, or create derivative works based on our intellectual property without our express written consent. By submitting feedback, suggestions, or ideas to Amilu, you grant us an unrestricted, worldwide, irrevocable, perpetual, royalty-free right to use such feedback for any purpose without compensation or attribution to you.

18. Termination

You may delete your account at any time via Settings → Delete Account. All your data will be permanently and irreversibly deleted. We may suspend or terminate your account at any time, at our sole discretion, without notice, without explanation, and without liability, for any reason, including but not limited to: • Violation of these Terms • Suspected fraudulent, harmful, or illegal activity • Conduct on or off the platform that we deem inappropriate or harmful to other users or to the integrity of the Service • Any other reason we deem appropriate Upon termination initiated by you, you will not be entitled to any refund for purchases made. Upon termination initiated by Amilu without cause (i.e. not due to a violation of these Terms), you will receive a pro-rata refund for any unused portion of a prepaid subscription period. Sections 7, 8, 9, 12, 13, 14, 15, 17, 20, 22, 23, 24, and 25 survive termination of these Terms.

19. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes through the App or by other reasonable means. Your continued use of Amilu after such notification constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the App and delete your account. Material changes to the Limitation of Liability (Section 13) and Waiver of Claims (Section 14) require your affirmative acceptance.

20. Dispute Resolution & Time Limitation

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations between the parties. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. FAILURE TO FILE WITHIN THIS PERIOD CONSTITUTES A PERMANENT AND IRREVOCABLE WAIVER OF SUCH CLAIM. You agree that any legal proceedings will be conducted on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding against Amilu, to the extent permitted by law.

21. Force Majeure

Amilu shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government actions, sanctions, embargoes, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.

22. Electronic Communications

By creating an account, you consent to receive electronic communications from Amilu (e.g. push notifications, in-app messages, emails). You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

23. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. The invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Amilu regarding the Service and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

24. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with Swiss law, without regard to its conflict of law provisions. Any disputes arising from or in connection with these Terms shall be subject to the jurisdiction of the courts at the registered seat of Zypheris GmbH (currently Pfäffikon SZ, Switzerland), unless mandatory law provides for a different jurisdiction. In particular, consumers in Switzerland may bring proceedings at their place of domicile in accordance with Art. 32 ZPO. If you are a consumer within the EU, you retain the protection of mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts of your country of residence.

Organizer Terms of Service

1. Scope & Acceptance

These Organizer Terms of Service ("Organizer Terms") apply to any user who creates an Organizer Account on the Amilu mobile application ("App", "Platform", "Service"). These Organizer Terms are in addition to and do not replace the general Terms of Service and Privacy Policy, which continue to apply in full. By creating an Organizer Account, you confirm that you have read, understood, and agree to be bound by these Organizer Terms. If you do not agree, you may not create an Organizer Account or publish events through Amilu. Amilu reserves the right to update these Organizer Terms at any time. We will notify you of changes through the App or by other reasonable means. Your continued use of your Organizer Account after such notification constitutes acceptance of the updated terms. Material changes to the Limitation of Liability (Section 14), Waiver of Claims (Section 17), and Indemnification (Section 15) require your affirmative acceptance. If you do not agree to the changes, you must stop using your Organizer Account.

2. Role of Amilu

Amilu is a technology platform that allows Organizers to list events and allows users to discover those events. Amilu acts solely as a neutral intermediary and technology provider. AMILU IS NOT AN EVENT ORGANIZER, CO-ORGANIZER, PROMOTER, PRODUCER, VENUE OPERATOR, TICKET SELLER, TICKET RESELLER, PAYMENT PROCESSOR, OR PARTY TO ANY TRANSACTION OR ARRANGEMENT BETWEEN AN ORGANIZER AND ANY ATTENDEE OR THIRD PARTY. Amilu does not participate in, supervise, direct, control, or manage any aspect of any event listed on the Platform. Amilu does not endorse, recommend, verify, or guarantee any Organizer, event, venue, product, or service. The relationship between an Organizer and any attendee is solely between those parties. Amilu is not a party to that relationship and assumes no obligations or liability arising from it.

3. Organizer Responsibilities

As an Organizer, you are solely and fully responsible for: • The planning, organization, promotion, execution, and management of every event you list on the Platform • The safety, security, and wellbeing of all attendees at your events • Providing adequate supervision, staffing, and safety measures appropriate to the nature and size of the event • Securing and maintaining a suitable venue, including confirming that the venue permits the planned activity and number of attendees • Providing accurate and complete event information (title, description, date, time, location, pricing, age restrictions, and any other relevant details) • Communicating any changes, delays, or cancellations to attendees in a timely manner • Handling all attendee inquiries, complaints, disputes, and refund requests directly • Ensuring that your event and all related activities comply with all applicable local, regional, national, and international laws, regulations, ordinances, and codes • Any and all consequences, claims, damages, losses, costs, and liabilities arising from or in connection with your event, whether caused by you, your staff, your contractors, attendees, or any other person or circumstance YOU ACKNOWLEDGE THAT AMILU HAS NO INVOLVEMENT IN AND ACCEPTS NO RESPONSIBILITY FOR ANY ASPECT OF YOUR EVENT. THE ENTIRE RISK AND LIABILITY ASSOCIATED WITH YOUR EVENT RESTS SOLELY WITH YOU.

4. Event Content & Accuracy

All information you provide about your events must be accurate, complete, truthful, and not misleading. This includes but is not limited to: event title, description, date, time, location, venue, pricing, age restrictions, capacity, and any special conditions or requirements. You must not: • Post false, misleading, or deceptive event information • Misrepresent the nature, content, scope, or quality of an event • Advertise performers, speakers, features, or services that you cannot guarantee will be present or available • Use your Organizer Account for fraudulent purposes, scams, pyramid schemes, multi-level marketing, or any form of deception • Create events for the primary purpose of collecting personal data, promoting unrelated products or services, or recruiting for organizations Amilu does not review, verify, fact-check, or approve event listings before publication. The presence of an event on the Platform does not constitute endorsement, verification, or approval by Amilu. Amilu reserves the right to remove, modify, or restrict visibility of any event listing at any time, at its sole discretion, without notice and without liability.

5. Capacity Management (Manage Spots)

IMPORTANT: The "Manage Spots" feature in Amilu allows Organizers to display a limited number of available spots for an event within the App. When a user taps "Going" on such an event, the displayed spot count decreases by one. THE "MANAGE SPOTS" FEATURE IS PROVIDED AS A CONVENIENCE TOOL ONLY. IT IS NOT A BOOKING SYSTEM, RESERVATION SYSTEM, OR TICKETING SYSTEM. TAPPING "GOING" DOES NOT CONSTITUTE A TICKET PURCHASE, A BINDING RESERVATION, A CONTRACT, OR A GUARANTEE OF ADMISSION. Amilu does not guarantee, warrant, or represent that: • The number of spots displayed in the App corresponds to the actual available capacity of the event or venue • The spot count is synchronized with tickets sold through external ticketing platforms, at the door, or through any other channel • A user who has tapped "Going" will be admitted to the event • The venue has sufficient capacity for all users who tapped "Going" • The "Manage Spots" count is accurate, up to date, or error-free at any time THE ORGANIZER IS SOLELY AND FULLY RESPONSIBLE FOR MANAGING THE TOTAL CAPACITY OF THE EVENT ACROSS ALL CHANNELS (APP, EXTERNAL TICKET SALES, DOOR SALES, GUEST LISTS, AND ANY OTHER METHOD). AMILU ACCEPTS NO LIABILITY FOR OVERBOOKING, DENIED ENTRY, OVERCROWDING, OR ANY CLAIMS ARISING FROM CAPACITY DISCREPANCIES. If an Organizer sells tickets through external channels in addition to using "Manage Spots" in Amilu, it is the Organizer's sole responsibility to manually adjust the spot count in the App to reflect the true remaining capacity. Amilu has no mechanism to synchronize spot counts with external systems and accepts no liability for discrepancies.

6. Ticket Links & External Sales

Organizers may add a link to an external website where users can purchase tickets or obtain further information about an event ("Ticket Link"). AMILU IS NOT A TICKET SELLER, TICKET RESELLER, BROKER, OR PAYMENT PROCESSOR. AMILU DOES NOT SELL, DISTRIBUTE, VALIDATE, REFUND, OR PROCESS TICKETS OF ANY KIND. When a user taps on a Ticket Link, they are redirected to an external website that is not owned, operated, or controlled by Amilu. Any transaction, purchase, booking, or agreement that occurs on or through the external website is solely between the user, the Organizer, and/or the third-party ticket provider. Amilu is not a party to any such transaction. Amilu does not verify, review, monitor, or guarantee: • The accuracy, safety, legitimacy, or security of any Ticket Link or external website • The validity, authenticity, or deliverability of any tickets sold through external platforms • The pricing, fees, refund policies, or terms of any ticket sale • The identity or legitimacy of the ticket seller • That the linked website is free from malware, phishing, fraud, or other harmful content THE ORGANIZER IS SOLELY RESPONSIBLE FOR THE ACCURACY, SAFETY, AND LEGITIMACY OF ALL TICKET LINKS AND EXTERNAL URLS THEY POST ON THE PLATFORM. IF A TICKET LINK LEADS TO A FRAUDULENT, MALICIOUS, OR MISLEADING WEBSITE, THE ORGANIZER BEARS FULL LIABILITY. Amilu may, but is not obligated to, implement automated safety checks on submitted URLs. Such checks are provided on a best-effort basis and do not constitute a guarantee that any URL is safe, legitimate, or free from harmful content. AMILU EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY LOSS, DAMAGE, COST, CLAIM, OR HARM ARISING FROM A USER CLICKING ON A TICKET LINK OR VISITING ANY EXTERNAL WEBSITE LINKED FROM AN EVENT LISTING, INCLUDING BUT NOT LIMITED TO FINANCIAL LOSS FROM FRAUDULENT TRANSACTIONS, DATA THEFT, MALWARE INFECTION, OR IDENTITY THEFT.

7. Compliance with Applicable Laws

The Organizer is solely responsible for complying with all applicable laws, regulations, permits, licenses, and requirements related to their event. This includes, without limitation: • Obtaining all necessary permits, approvals, and licenses for the event (e.g. public gathering permits, alcohol licenses, food handling permits, noise permits, fire safety approvals) • Complying with all health and safety regulations, fire codes, building codes, and occupancy limits • Complying with food safety and hygiene regulations if food or beverages are served • Complying with youth protection laws, including age restrictions for alcohol, tobacco, and adult content • Obtaining adequate event liability insurance where required or advisable • Complying with noise regulations and neighborhood disturbance laws • Complying with copyright and licensing laws for music, performances, and other intellectual property (e.g. GEMA, SUISA, ASCAP, BMI) • Complying with data protection laws (e.g. GDPR, FADP) when collecting or processing attendee data • Complying with accessibility requirements where applicable • Complying with anti-discrimination laws • Paying all applicable taxes, fees, and levies related to the event and any ticket revenue Amilu does not verify, monitor, or enforce compliance with any of the above. Failure to comply with applicable laws is solely the Organizer's risk and liability. Amilu accepts no responsibility for any fines, penalties, legal proceedings, or damages resulting from an Organizer's failure to comply with the law.

8. Events Involving Children

If an Organizer creates an event designated for families or children (including but not limited to the "Family" category): • The Organizer must ensure that the event environment is safe and age-appropriate • The Organizer must clearly communicate any age restrictions, supervision requirements, and safety information in the event listing • The Organizer must comply with all applicable child protection laws and youth welfare regulations • The Organizer must not collect, store, or process personal data of minors except as strictly required and permitted by law Amilu does not conduct background checks on Organizers or attendees. Amilu makes no representations regarding the suitability of any Organizer to host events involving children. AMILU EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY HARM, INJURY, LOSS, OR DAMAGE INVOLVING MINORS AT EVENTS LISTED ON THE PLATFORM.

9. Event Cancellation & Changes

If an Organizer cancels, postpones, relocates, or materially changes an event, the Organizer must: • Notify all attendees as promptly as possible through the Platform and any other available means • Handle all refund requests directly, in compliance with applicable consumer protection laws • Update the event listing to reflect the changes Amilu is not responsible for notifying attendees of cancellations or changes. While Amilu provides notification features, Amilu does not guarantee that notifications will be delivered, received, or read in time. AMILU ACCEPTS NO LIABILITY FOR ANY COSTS, DAMAGES, OR INCONVENIENCE SUFFERED BY ATTENDEES AS A RESULT OF EVENT CANCELLATIONS, CHANGES, NO-SHOWS, OR DELAYED NOTIFICATIONS. THIS INCLUDES BUT IS NOT LIMITED TO TRAVEL COSTS, ACCOMMODATION, LOST TIME, OR ANY OTHER EXPENSE INCURRED IN RELIANCE ON AN EVENT LISTING.

10. Attendee Data & Privacy

Through the Platform, Organizers may have access to limited information about users who have indicated interest in or attendance at their events (e.g. usernames, profile photos, "Going" status). The Organizer agrees to: • Use attendee information solely for the purpose of managing the specific event in question • Not store, export, copy, or retain attendee information beyond what is strictly necessary for the event • Not share, sell, license, or disclose attendee information to any third party for any purpose • Not use attendee information for marketing, advertising, solicitation, profiling, or any purpose unrelated to the event • Not contact attendees through channels outside the Platform without their explicit prior consent • Comply with all applicable data protection laws (including GDPR and FADP) when handling any attendee information Any violation of this section may result in immediate suspension or permanent deletion of the Organizer Account without notice.

11. Content License

By posting event listings, images, descriptions, or any other content through your Organizer Account, you grant Amilu a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, display, reproduce, modify, adapt, publish, and distribute such content for the purpose of operating, promoting, and improving the Service. This license continues even after the event has ended or your Organizer Account has been deleted, but only to the extent necessary for archival, legal compliance, or promotional purposes. You represent and warrant that you have all necessary rights to the content you post and that your content does not infringe the rights of any third party.

12. Fees & Financial Terms

Creating an Organizer Account and listing events on Amilu is currently free of charge. Amilu reserves the right to introduce fees, commissions, or subscription plans for Organizer features at any time, with prior notice. Amilu does not collect payments on behalf of Organizers, does not hold funds in escrow, and does not process refunds. All financial transactions between Organizers and attendees are conducted entirely outside the Platform and are solely the responsibility of the parties involved. The Organizer is solely responsible for all taxes, fees, and financial obligations arising from their events and ticket sales.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: THE PLATFORM AND ALL ORGANIZER FEATURES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. AMILU MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE REGARDING: • The number of users who will view, interact with, or attend any event listed on the Platform • The reach, visibility, promotion, or discoverability of any event listing • The revenue, ticket sales, or financial outcome of any event • The accuracy or functionality of any Platform feature, including "Manage Spots", "Going" counts, notifications, or analytics • That the Platform will be available, uninterrupted, timely, secure, or error-free • That any Platform feature will meet the Organizer's requirements or expectations NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY AMILU SHALL CREATE A WARRANTY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: AMILU SHALL NOT BE LIABLE FOR ANY INJURY, HARM, DEATH, DAMAGE, OR LOSS OF ANY KIND ARISING FROM OR IN CONNECTION WITH: • Any event listed, organized, promoted, or hosted by an Organizer • The conduct, actions, statements, negligence, or omissions of any Organizer, attendee, vendor, contractor, or any other person at or in connection with an event • Any personal injury, illness, death, property damage, theft, or financial loss occurring at or in connection with an event • Food, beverages, or substances served or consumed at an event • The condition, safety, or suitability of any venue • Overcrowding, overbooking, denied entry, or capacity-related issues • Cancellations, no-shows, schedule changes, or misrepresented events • Ticket disputes, refund disputes, or financial disputes between Organizers and attendees • External websites, Ticket Links, or any content, transaction, or interaction occurring outside the Platform • Fraudulent, misleading, or illegal events or event listings • Unauthorized use of attendee data by an Organizer • Platform errors, bugs, downtime, data loss, notification failures, or inaccurate information displayed on the Platform • Any indirect, incidental, special, consequential, or punitive damages • Lost profits, lost revenue, lost business opportunities, reputational damage, or loss of goodwill • Any matter beyond Amilu's reasonable control IN NO EVENT SHALL AMILU'S TOTAL AGGREGATE LIABILITY TO ANY ORGANIZER FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE ORGANIZER TERMS OR THE SERVICE EXCEED CHF 50 (FIFTY SWISS FRANCS) OR THE AMOUNT THE ORGANIZER HAS ACTUALLY PAID TO AMILU IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. THE LIMITATIONS AND EXCLUSIONS OF LIABILITY SET FORTH IN THIS SECTION ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE AGREEMENT BETWEEN THE ORGANIZER AND AMILU. THE SERVICE WOULD NOT BE PROVIDED TO ORGANIZERS WITHOUT SUCH LIMITATIONS. Nothing in these Organizer Terms excludes or limits liability for death or personal injury caused by gross negligence or intentional misconduct, fraud, or any liability that cannot be excluded under applicable mandatory law.

15. Indemnification

THE ORGANIZER AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS AMILU, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE LEGAL FEES AND COURT COSTS) ARISING OUT OF OR IN CONNECTION WITH: • Any event the Organizer creates, lists, promotes, organizes, or hosts through the Platform • Any injury, harm, death, damage, or loss occurring at or in connection with the Organizer's event • Any claim by an attendee, vendor, contractor, venue, government authority, or any other third party related to the Organizer's event • Any dispute between the Organizer and any attendee, including disputes over tickets, refunds, admissions, or event quality • Any violation of applicable laws, regulations, permits, or licenses by the Organizer • Any misrepresentation, inaccuracy, or omission in the Organizer's event listing or profile • Any unauthorized or unlawful use of attendee data • Any external link, URL, or website posted by the Organizer that causes harm to users • The Organizer's violation of these Organizer Terms or the general Terms of Service • Any intellectual property infringement related to the Organizer's event or content (including music licensing violations) • Any tax liability, fine, or penalty related to the Organizer's events or revenue This indemnification obligation survives termination of the Organizer Account and these Organizer Terms. Amilu reserves the right to assume the exclusive defense and control of any matter subject to indemnification by the Organizer, at the Organizer's expense.

16. Account Suspension & Termination

Amilu may suspend, restrict, or permanently delete an Organizer Account and/or remove any or all event listings at any time, at its sole discretion, without prior notice, without explanation, and without liability. Reasons may include, but are not limited to: • Violation of these Organizer Terms or the general Terms of Service • Reports or complaints from attendees or third parties • Suspected fraudulent, illegal, harmful, or deceptive activity • Events that pose safety, legal, or reputational risks • Inactivity or abandonment of the Organizer Account • Any other reason Amilu deems appropriate Upon termination of an Organizer Account: • All event listings will be removed from the Platform • The Organizer remains fully responsible for any events already scheduled or in progress • The Organizer remains bound by the indemnification and liability provisions of these Organizer Terms • No refund or compensation of any kind will be provided The Organizer may voluntarily deactivate their Organizer Account at any time through the App. Deactivation does not release the Organizer from any existing obligations related to scheduled events. Sections 2, 3, 7, 8, 10, 11, 13, 14, 15, 17, 18, 19, 20, and 21 survive termination of these Organizer Terms.

17. Waiver of Claims

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ORGANIZER HEREBY WAIVES ANY AND ALL CLAIMS, CAUSES OF ACTION, AND DAMAGES AGAINST AMILU ARISING OUT OF OR RELATING TO: • The Organizer's use of the Platform and Organizer features • The performance, reach, visibility, or outcome of any event listing • Any interactions between the Organizer and attendees or third parties • Any decision by Amilu to remove an event listing, restrict features, or suspend or terminate the Organizer Account • Any Platform feature not functioning as expected This waiver applies regardless of the legal theory, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether Amilu has been advised of the possibility of such damages.

18. Force Majeure

Amilu shall not be liable for any failure or delay in performing its obligations under these Organizer Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government actions, sanctions, embargoes, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers. This includes, without limitation, any failure of Platform features (such as event listings, notifications, "Manage Spots", or analytics) to function as expected during such events. Amilu accepts no liability for any impact on the Organizer's events or revenue resulting from such circumstances.

19. Severability & Entire Agreement

If any provision of these Organizer Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. The invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. These Organizer Terms, together with the general Terms of Service and the Privacy Policy, constitute the entire agreement between the Organizer and Amilu regarding the use of Organizer features and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral. Amilu's failure to exercise or enforce any right or provision of these Organizer Terms shall not constitute a waiver of such right or provision.

20. Governing Law & Jurisdiction

These Organizer Terms are governed by and construed in accordance with Swiss law, without regard to its conflict of law provisions. Any disputes arising from or in connection with these Organizer Terms shall be subject to the jurisdiction of the courts at the registered seat of Zypheris GmbH (currently Pfäffikon SZ, Switzerland), unless mandatory law provides for a different jurisdiction. In particular, consumers in Switzerland may bring proceedings at their place of domicile in accordance with Art. 32 ZPO. If the Organizer is a consumer within the EU, they retain the protection of mandatory provisions of the law of their country of residence, and they may bring proceedings in the courts of their country of residence.
